Learn the rules that apply when using the Wodex website, desktop client, admin console, enterprise gateway, managed models, and team features, including accounts, subscriptions, acceptable use, liability, and service changes.

Wodex is operated by Reasoner, LLC, a U.S. limited liability company ("we", "us", "our"). These Terms of Service apply to the Wodex website, admin console, desktop client, enterprise gateway, managed model credits, team workspaces, and related services.
Wodex is a company-controlled AI Agent workstation: the company centrally configures models, gateways, API keys, credits, billing, and audit; employees use ChatGPT-class Agents and related tools through the client.
If you use Wodex on behalf of a company, team, or other organization, you confirm that you have authority to accept these terms on behalf of that organization.
If you or your organization has signed a separate written agreement with Wodex regarding enterprise deployment, private deployment, data handling, security, pricing, service level, or support, the terms of that agreement prevail over these Terms where they conflict.
Services
Wodex provides company-controlled AI Agent workstation capabilities, including desktop client, account sign-in, workspace management, configuration deployment, token broker, model gateway, managed model credits, usage statistics, billing management, team audit, tool/skill management, and related support services.
Wodex may support bring-your-own model sources, Wodex-hosted models, third-party model services, local tools, automation components, and enterprise internal system integrations. Available features may differ by plan, region, client version, workspace configuration, or provider status.
Wodex is not a replacement authorization for third-party models, third-party accounts, or third-party platforms. When you use any model, API, account, plug-in, or external service, you remain subject to the corresponding service's terms, policies, regional restrictions, usage restrictions, and pricing rules.
Accounts, workspaces, and admin responsibilities
- You must provide truthful, usable email or other sign-in information and protect sign-in links, verification codes, devices, and sessions.
- Workspace admins are responsible for inviting members, assigning permissions, managing credits, configuring model sources, handling member offboarding, and auditing team usage.
- If you enable Team or enterprise services on behalf of a company, you should ensure that members' use of Wodex complies with your organization's internal policies, data security requirements, and applicable laws.
- Admins should confirm they have authority to configure, upload, host, or distribute API keys, model accounts, gateway addresses, tool credentials, and enterprise data, and should promptly remove departing members or members who no longer need access.
- You may not share, sell, rent accounts, or bypass Wodex permissions, credits, billing, or security controls.
API keys, model sources, and third-party services
- If you use bring-your-own keys or self-selected model sources, you should ensure you have the right to use the corresponding key, account, credits, and model service.
- You may not use Wodex to bypass third-party models, third-party platforms, regional access, account authorization, billing, rate limits, risk control, security policies, or contractual restrictions.
- Third-party models, payment, email, cloud services, or integration tools may be governed by their own terms. Wodex does not control third-party services' availability, pricing, data policies, regional policies, response speed, output results, or service continuity.
- Enterprise gateway and managed model requests may incur fees, credit consumption, or third-party costs. Admins should configure member permissions, credits, and model policies reasonably.
- If a third-party service restricts, suspends, or terminates availability due to policy, region, risk control, pricing, failure, abuse investigation, or other reasons, Wodex may need to adjust, suspend, or replace the relevant capability.
User content and AI outputs
You retain rights to prompts, code, files, text, configurations, business data, and other content you input into Wodex. You grant Wodex the right to process such content to the extent necessary to provide, maintain, protect, troubleshoot, and improve the service.
AI outputs may be inaccurate, incomplete, similar to others' outputs, or unsuitable for direct use in production, legal, financial, medical, security, hiring, credit, or other high-risk scenarios. You should review, test, and judge output results yourself.
You should ensure that your inputs and use of outputs do not infringe third-party intellectual property, trade secrets, privacy, portrait rights, contracts, or other legitimate rights.
Unless otherwise agreed or explicitly authorized by you, we will not use customer content from enterprise workspaces to train general-purpose models offered to the public. Third-party model providers may process request data according to their own terms.
Acceptable use
- You may not use Wodex to generate, distribute, or assist with illegal, infringing, fraudulent, malware, phishing, spam, hate, harassment, violent threat, unauthorized surveillance, or security-control-bypassing content.
- You may not attack, scan, stress-test, reverse-engineer, scrape, abuse, disrupt, or bypass Wodex, model providers, payment providers, or other users' systems.
- You may not attempt to extract, leak, share, or misuse others' API keys, access tokens, trade secrets, personal information, or enterprise data.
- You may not use Wodex in a way that violates model provider, open-source project, third-party platform, or your organization's policies.
- You may not use Wodex for automated large-scale harassment, spam marketing, fake interactions, manipulation, paywall bypass, platform risk-control evasion, personal information rights infringement, or generating content intended to deceive others.
- You may not use Wodex outputs directly for high-risk decisions or automated decisions with significant impact on individuals without necessary human review, professional judgment, and appropriate authorization.
Sensitive information and customer data
You should judge according to your organization's internal policies which customer materials, source code, contracts, financial data, personal information, trade secrets, or regulated data may be input into Wodex, sent to model providers, or connected to automation tools.
If your business involves healthcare, finance, education, minors, personal sensitive information, export-controlled technology, classified information, or other regulated data, please complete necessary compliance assessment and permission configuration before using Wodex.
Wodex provides gateway, credits, configuration, and audit capabilities, but does not replace you or your organization's responsibilities for data classification, customer authorization, confidentiality obligations, industry regulation, internal approval, and employee management.
Plans, credits, billing, and refunds
- Wodex may offer free plans, individual paid plans, Team plans, managed model credits, pay-as-you-go top-ups, and enterprise custom services. Specific pricing, credits, features, and limits are subject to the checkout page, order, invoice, or separate agreement.
- Managed model credits may reset monthly, be deducted by usage, or follow plan rules; whether unused credits roll over, are refunded, or expire is subject to the purchase page, order, or separate agreement.
- Subscriptions generally remain effective until the end of the current billing cycle. Unless otherwise required by the purchase page, order, invoice, separate agreement, or applicable law, paid fees are generally not refunded on a pro-rata basis.
- If duplicate charges, obvious billing errors, or abnormal inability to use the service occur, please contact [email protected] as soon as possible after discovery, and we will handle the matter based on the actual situation.
Intellectual property
The Wodex website, client, interface, brand, trademarks, design, documentation, server-side code, gateway system, and related technology are owned by Wodex or its licensors. Unless explicitly authorized, you may not copy, modify, distribute, rent, sell, or reverse-engineer any part of Wodex.
Open-source components remain subject to their respective open-source licenses. Third-party models, tools, icons, fonts, or services are owned by their respective rights holders.
If you provide product suggestions, issue feedback, feature requests, or improvement ideas to us, you agree that we may use such feedback to improve Wodex without paying you, but we will not thereby obtain rights to your business data, code, files, or customer content.
Service changes, suspension, and termination
- We may adjust, suspend, or discontinue some features based on product, security, compliance, cost, third-party supply, technology, or commercial reasons.
- If you violate these terms, abuse the service, owe fees, create security risks, or trigger legal risks, we may restrict, suspend, or terminate your account, workspace, credits, or access permissions.
- You may stop using Wodex or cancel your subscription according to plan rules. After cancellation or termination, some data may continue to be retained for a period due to billing, audit, security, dispute handling, or legal requirements.
Disclaimers
To the maximum extent permitted by law, Wodex is provided 'as is' and 'as available'. We do not guarantee that the service will never be interrupted, error-free, meet all your needs, or that any AI output is accurate, lawful, fit for a particular purpose, or production-ready.
You should back up important data, review AI outputs, and conduct necessary testing and human review before deploying code, making business decisions, delivering to customers, or publicly releasing outputs.
Wodex does not provide legal, financial, medical, tax, investment, security audit, or other professional advice. AI outputs and product suggestions are auxiliary information only and cannot replace professional judgment.
Limitation of liability
To the maximum extent permitted by law, Wodex is not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, business interruption, data loss, reputational loss, replacement service costs, or third-party claims.
If liability may be limited under law, Wodex's total liability for claims related to your use of the service is capped at the amount you actually paid to Wodex for the relevant service in the twelve months preceding the claim. The liability cap for free services or unpaid features is US$100.
Indemnification and violation liability
If claims, penalties, losses, costs, or disputes arise due to your or your organization's content, configurations, integrations, third-party accounts, API keys, illegal use, violation of these terms, or violation of third-party terms, you or your organization shall bear corresponding liability and, to the extent permitted by law, indemnify Wodex against harm.
Compliance, export controls, and sanctions
You should ensure that your use of Wodex, third-party models, APIs, tools, and outputs complies with applicable laws, regulatory requirements, export controls, sanctions, industry standards, third-party platform policies, and your organization's internal rules.
If relevant laws, policies, third-party terms, or provider restrictions make some features unavailable, require adjustment, or prevent provision to specific regions, industries, organizations, or individuals, we may take necessary restriction, suspension, replacement, or termination measures.
Enterprise agreement precedence
If you or your organization has signed a separate written agreement with Wodex regarding enterprise deployment, private deployment, data handling, security, pricing, service level, applicable law, or dispute resolution, the terms of that agreement prevail over these Terms where they conflict.
Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or the services are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.
The parties will first attempt to resolve any dispute or claim arising out of or relating to these Terms or the services informally. If informal resolution fails, the dispute will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and both parties consent to the exclusive jurisdiction of those courts.
To the maximum extent permitted by law, each party may bring claims only in its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.
Terms updates
We may update these terms based on product, legal, compliance, or operational changes. Material changes will be notified through the website, admin console, email, or other reasonable means. Continued use of the service means you accept the updated terms.
